HughesNet Propose 9.5% Senior Note Offering
The international leading provider of broadband satellite network products and services, HughesNet, and its division, HNS Finance Corp, revealed that they plan to provide $125 million total principal - 9.5% - senior notes within five years. The senior notes will be delivered in a private placement, and will be ensured on a senior unsecured basis. HNS Finance Corp's existing and future domestic subsidiaries that ensure any portion of HNS' indebtedness, or indebtedness of any other HNS subsidiary guarantor - not excluding the indebtedness of HNS' unsecured term loan sector, credit sector, and current 9.5% notes.
The total gains of the transaction are meant to be used for general business purposes, which may involve business development initiatives/acquisitions, possible satellite fleet improvement, and resolving capital needs.
The senior notes will only be available for sale in America, to eligible institutional buyers in compliance with the Securities Act of 1933 and Rule 144A. The purchase of these notes will also be possible in offshore transactions, to non-U.S. citizens, following the Securities Act - Regulation S. The sales of the HughesNet senior notes will not be registered under the Securities Act, and the notes may not be available for sale within America, or on behalf of, any U.S. citizen absent such registration. This includes a relevant exemption from such registration obligations.
